BINDING LEGAL AGREEMENT — PLEASE READ CAREFULLY AND IN FULL BEFORE ACCESSING OR USING THE SERVICE IN ANY MANNER. These Terms of Service ("Agreement," "Terms"), including all exhibits attached hereto and all documents expressly incorporated herein by reference (including without limitation the BeSeen Privacy Policy, which is incorporated into and made a part of these Terms as if set forth in full herein), constitute a legally binding and enforceable contract between you, as an individual or, if applicable, as the duly authorized representative of a corporate entity, limited liability company, partnership, limited partnership, trust, joint venture, association, cooperative, non-profit organization, or other legal entity acting under applicable organizational or jurisdictional law ("you," "User," or "your"), and BeSeen ("Company," "BeSeen," "we," "us," or "our"), governing, without limitation or exception, your right to access, browse, register with, upload content to, receive output from, make purchases through, interact with, and otherwise use the BeSeen platform, website, application programming interfaces, software, and any related services, products, tools, features, or functionalities currently available or made available in the future by BeSeen (collectively, the "Service"). YOUR ACCESS TO OR USE OF THE SERVICE IN ANY MANNER WHATSOEVER — INCLUDING WITHOUT LIMITATION LOADING ANY PAGE OF THE SERVICE, CREATING AN ACCOUNT, SUBMITTING ANY FORM OR DOCUMENT, CLICKING ANY "AGREE," "ACCEPT," "CONTINUE," "START," "GET STARTED," "SIGN IN," "SIGN UP," "UPLOAD," OR FUNCTIONALLY EQUIVALENT INTERFACE ELEMENT, INITIATING ANY PAYMENT TRANSACTION, DOWNLOADING ANY DOCUMENT, FILE, OR OUTPUT, OR SIMPLY BROWSING THE SERVICE — CONSTITUTES YOUR UNCONDITIONAL, IRREVOCABLE, AND LEGALLY BINDING ACCEPTANCE OF THESE TERMS IN THEIR ENTIRETY WITHOUT MODIFICATION, LIMITATION, QUALIFICATION, OR RESERVATION. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOUR SOLE AND EXCLUSIVE REMEDY IS TO IMMEDIATELY CEASE ALL USE OF THE SERVICE AND, IF APPLICABLE, TO CLOSE YOUR ACCOUNT. BESEEN EXPRESSLY CONDITIONS YOUR ACCESS TO AND USE OF THE SERVICE UPON YOUR ACCEPTANCE OF THESE TERMS.
These Terms shall be interpreted and enforced in accordance with the governing law provisions set forth below without giving effect to any conflict-of-law or choice-of-law rules, principles, doctrines, or provisions that might otherwise require or permit the application of the laws of a jurisdiction other than the one designated therein; you hereby irrevocably and unconditionally consent to the personal jurisdiction of and venue in the courts designated in the Governing Law section for the resolution of any dispute not subject to the dispute resolution mechanism described below. ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING IN ANY WAY TO THESE TERMS, YOUR ACCOUNT, OR YOUR USE OF THE SERVICE SHALL BE SUBJECT TO THE BINDING DISPUTE RESOLUTION PROCEDURES SET FORTH BELOW, AND YOU EXPRESSLY, KNOWINGLY, AND VOLUNTARILY WAIVE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOUR RIGHT TO PARTICIPATE AS A PLAINTIFF, CLASS MEMBER, REPRESENTATIVE PARTY, OR CLAIMANT IN ANY CLASS ACTION LAWSUIT, COLLECTIVE ACTION, REPRESENTATIVE PROCEEDING, CONSOLIDATED ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER PROCEEDING IN WHICH CLAIMS ARE BROUGHT IN A REPRESENTATIVE CAPACITY OR ON BEHALF OF ANY OTHER PERSON OR ENTITY. These Terms expressly supersede and replace in their entirety any and all prior agreements, representations, warranties, understandings, arrangements, or communications, whether written, oral, electronic, or implied, between you and BeSeen relating to any subject matter addressed by these Terms; no prior course of dealing, trade usage, course of performance, industry custom, or parol evidence of any kind shall be used to interpret, supplement, explain, modify, contradict, or otherwise affect the meaning of any provision herein. You acknowledge that in entering into these Terms, you have not relied on and shall have no remedy in respect of any representation, warranty, collateral agreement, promise, undertaking, or assurance from BeSeen or any of its officers, employees, agents, or representatives that is not expressly set forth in these Terms. These Terms are effective upon your first access to or use of the Service on or after the effective date stated above; provisions that by their nature should survive termination or expiration of these Terms — including without limitation the AI Disclaimer, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution sections, together with any accrued payment obligations and any cause of action or claim arising prior to termination — shall survive any termination or expiration of these Terms indefinitely. If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, unconscionable, or unenforceable under applicable law, such provision shall be deemed modified to the minimum extent necessary to render it valid, legal, and enforceable, or if such modification is not possible, shall be severed from these Terms, which shall otherwise remain in full force and effect. BeSeen's failure to exercise or enforce any right, power, or remedy under these Terms shall not constitute a waiver thereof; any waiver must be made expressly and in writing by an authorized representative of BeSeen. All references to "including" shall be construed as "including without limitation." Headings are for convenience only and have no legal effect on interpretation.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BeSeen ("BeSeen," "we," "us," or "our") governing your access to and use of the BeSeen platform, website, and all associated products, features, tools, APIs, and services (collectively, the "Service"). By accessing or using the Service in any manner — including by creating an account, uploading a resume, initiating a payment, or simply browsing the Service — you acknowledge that you have read these Terms, that you understand them, and that you agree to be bound by them in their entirety. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must immediately discontinue your use of the Service and, if applicable, close your account. These Terms apply to all users of the Service, including visitors who browse the Service without registering. We reserve the right to modify these Terms at any time at our sole discretion. We will provide notice of material modifications by email or through a prominent notice within the Service at least seven (7) days before the modified Terms take effect. Your continued use of the Service after the effective date of any modified Terms constitutes your acceptance of those Terms.
As used in these Terms, the following definitions apply. "Account" means the registered user account you create to access the Service. "Content" means any text, files, documents, data, or other materials you upload, submit, or otherwise provide to the Service. "AI-Generated Content" means any resume content, bullet points, summaries, or other output produced by the artificial intelligence features of the Service based on your Content. "Session" means a single resume tailoring workflow initiated through the Service, which may include uploading a resume, providing a job description, receiving AI-generated output, reviewing results, and downloading a formatted document. "Purchase" means a paid transaction through which you unlock access to a Session or other paid features of the Service. "Candidate Matching Service" means the optional, opt-in feature through which BeSeen may manually share your resume profile with a third-party hiring contact on a case-by-case basis, as described below. "Recruiter" means a third-party hiring professional or organization that BeSeen shares a candidate's profile with under the Candidate Matching Service. "Intellectual Property" means patents, copyrights, trademarks, trade secrets, moral rights, and all other proprietary rights. "Privacy Policy" means the BeSeen Privacy Policy available at the /privacy page of our website, incorporated herein by reference.
You must be at least 13 years of age to use the Service. If you are under 18 (or the age of legal majority in your jurisdiction, if greater), you may use the Service only with the involvement and consent of a parent or legal guardian, and you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf and accepts responsibility for your use of the Service. If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to act on behalf of that entity and to bind it to these Terms, and all references to "you" in these Terms shall refer to both you individually and that entity. The Service is not intended for and may not be used by individuals who are barred from receiving services under the laws of the United States or other applicable jurisdictions. We reserve the right to verify your eligibility at any time and to restrict or terminate access if we believe you do not meet the applicable eligibility requirements.
To access certain features of the Service, you must create an Account. When creating your Account, you agree to provide accurate, current, and complete information. You agree to promptly update your Account information to keep it accurate and current. You are solely responsible for maintaining the confidentiality of your Account credentials, including your password, and for all activity that occurs under your Account. You must not share your Account credentials with any third party or allow any third party to access your Account. You agree to notify us immediately at the email address in the Contact section below if you suspect or discover any unauthorized access to or use of your Account or any other breach of security. We will not be liable for any loss or damage arising from unauthorized access to your Account resulting from your failure to maintain the security of your credentials. You may be held liable for losses incurred by BeSeen or other users due to unauthorized use of your Account if such use arises from your failure to take reasonable security precautions. You agree not to create multiple Accounts for the purpose of circumventing access restrictions, payment requirements, or limitations on the number of Sessions permitted under your current plan. We reserve the right to merge, suspend, or terminate duplicate or fraudulent Accounts at our sole discretion.
BeSeen offers paid services, including AI resume tailoring Sessions and other features that may be introduced from time to time. Access to paid features requires the completion of a Purchase through our checkout flow. All Purchases are processed through Stripe, Inc., our third-party payment processor. By initiating a Purchase, you authorize BeSeen and Stripe to charge your designated payment method for the total amount displayed at checkout, inclusive of any applicable taxes. You represent and warrant that you are the authorized user of the payment method you provide and that all payment information you submit is accurate and complete. You agree to pay all charges incurred in connection with your Purchases, including any applicable taxes. In the event that your payment is declined or reversed, we reserve the right to suspend your access to paid features until the outstanding amount is resolved. Prices for our services are displayed at checkout and are subject to change. Price changes will not affect Purchases you have already completed. All prices are in US dollars unless otherwise stated. We do not guarantee that pricing errors will be honored, and we reserve the right to cancel any transaction made at an erroneous price. Purchases are for digital services that are delivered immediately or near-immediately upon successful payment confirmation. Completed Sessions remain accessible in your Account for as long as your Account remains active, subject to our data retention policies described in the Privacy Policy.
Because our services involve AI processing that begins immediately upon purchase confirmation, we operate a limited refund policy. All sales are considered final once AI processing of your resume has commenced. We will not provide refunds based on dissatisfaction with AI-generated output, since the nature and quality of AI output depends significantly on the content you provide and cannot be guaranteed to meet subjective expectations. We may, at our sole discretion, issue refunds or credits in the event of a documented technical failure that prevented the Service from completing a Session and that is attributable to a malfunction on our end rather than issues with your submitted content, your network connection, or your device. To request consideration of a refund, you must contact us at the email address in the Contact section below within seven (7) days of the date of your Purchase, describing the issue in detail. We reserve the right to deny refund requests that we determine, in our sole discretion, are inconsistent with these Terms, are fraudulent, or have been made in bad faith. Chargebacks initiated through your payment provider without first contacting us may result in suspension or termination of your Account.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You represent and warrant that your use of the Service will not violate any applicable law or regulation, infringe upon the rights of any third party, or cause harm to BeSeen or its users. Without limiting the foregoing, you expressly agree not to engage in any of the following prohibited activities: using the Service for any illegal purpose or in violation of any federal, state, local, or international law or regulation; uploading or transmitting content that infringes or misappropriates any intellectual property rights, including copyrights, trademarks, or trade secrets, of any third party; attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code, underlying algorithms, AI prompts, machine learning models, or proprietary methodologies used in the Service; using any automated system, including bots, scrapers, crawlers, or scripts, to access, monitor, or extract data from the Service without our prior written consent; accessing or attempting to access any portion of the Service for which you have not completed a valid Purchase; transmitting malicious code, viruses, worms, trojan horses, or any software designed to disrupt, damage, or gain unauthorized access to systems; attempting to probe, scan, or test the vulnerability of the Service or any associated systems; interfering with or disrupting the integrity or performance of the Service or its infrastructure; using the Service to create, distribute, or facilitate the creation of fraudulent resumes that misrepresent a person's qualifications, experience, or identity to any employer; using the Service on behalf of third parties for commercial gain — including resume writing services, staffing agencies, or resume mills — without our prior written authorization; impersonating any person or entity or otherwise misrepresenting your identity or affiliation; and attempting to access another user's account or data without their consent. Violation of any provision of this section may result in immediate suspension or termination of your Account without refund. We reserve the right to investigate suspected violations and to cooperate with law enforcement authorities in connection with any investigation of illegal activity conducted through the Service.
The Service uses large language model AI technology provided by third-party AI providers to improve, rewrite, and tailor the content of your resume. You acknowledge and agree that: (a) AI systems are inherently probabilistic and may produce content that is inaccurate, inconsistent, poorly phrased, or otherwise unsuitable for your specific use case; (b) AI-generated content is based solely on the information you provide and cannot reflect facts, experiences, or qualifications that you did not include in your uploaded resume; (c) BeSeen's AI is designed and prompted to preserve the factual accuracy of your resume and not to fabricate credentials, employment history, or qualifications, but we cannot guarantee that this design intent will be executed perfectly in every case; and (d) the quality of AI output is substantially affected by the quality, completeness, and clarity of the content you submit. You are solely and exclusively responsible for reviewing all AI-Generated Content produced by the Service before using, submitting, or distributing it in any form. You must independently verify that every statement, description, date, title, credential, and piece of information in your AI-Generated Content is truthful, accurate, and consistent with your actual background and experience. You must not submit a resume to any employer that contains inaccurate, misleading, or fabricated information, regardless of whether that inaccuracy was introduced by an AI system or otherwise. BeSeen makes no representation or warranty that use of the Service will result in any specific employment-related outcome, including but not limited to receiving interview invitations, job offers, salary increases, or any other professional benefit. The effectiveness of a resume is influenced by a wide range of factors entirely outside our control, including the preferences of individual hiring managers, labor market conditions, applicant volume, and the internal policies of the hiring organization. We expressly disclaim all liability for any consequences — including but not limited to rejection of a job application, termination of employment, reputational harm, or any other adverse outcome — arising from the submission of AI-Generated Content that contains inaccuracies, whether or not such inaccuracies were introduced by the Service.
BeSeen offers an optional Candidate Matching Service that, when enabled by you, allows BeSeen to manually share your resume profile with a Recruiter or hiring contact BeSeen is working with, on a case-by-case basis, when your background appears to be a fit for a role they are trying to fill. This feature is strictly opt-in and is not enabled by default. You may enable or disable this feature at any time through your Account settings. BeSeen will never share your resume or profile with any Recruiter unless you have explicitly enabled this feature. This is currently a manual, BeSeen-staff-mediated process rather than a self-service platform — there is no public Recruiter registration, login, or messaging system, and BeSeen does not currently charge Recruiters a fee for this service. A Recruiter BeSeen shares your profile with is expected to use it only to evaluate you for a role and not to redistribute it further or retain it longer than necessary for that evaluation; however, BeSeen is not responsible for the conduct of a Recruiter once your profile has been shared with them. You may disable the Candidate Matching Service at any time, which stops any future sharing. Disabling the feature does not retroactively recall a copy of your profile already shared with a Recruiter before you disabled it — you must contact that party directly if you wish to exercise data deletion rights with respect to them.
All right, title, and interest in and to the Service — including but not limited to the BeSeen software, codebase, design, user interface, visual elements, brand identity, trademarks, service marks, logos, AI prompts, machine learning models, training methodologies, algorithms, proprietary workflows, documentation, and all other components of the Service — are and shall remain the exclusive property of BeSeen and its licensors. Nothing in these Terms grants you any right, title, or interest in or to the Service, its underlying technology, or BeSeen's intellectual property, except for the limited right to use the Service as expressly permitted by these Terms. You may not copy, reproduce, modify, create derivative works of, distribute, publicly display, publicly perform, reverse engineer, decompile, or otherwise exploit any portion of the Service without our prior written consent. BeSeen's name, logo, and associated marks are trademarks or registered trademarks of BeSeen. All other trademarks referenced in the Service are the property of their respective owners. Nothing in these Terms grants you any right to use BeSeen's trademarks or those of third parties without prior written consent.
You retain all ownership rights in the Content you upload to the Service, including your resume files, resume data, and any job descriptions or other materials you provide. By uploading Content to the Service, you grant BeSeen a limited, non-exclusive, worldwide, royalty-free, sublicensable license to use, store, process, transmit, copy, and display your Content solely for the purpose of providing and improving the Service to you. This license terminates when you delete your Content or close your Account, subject to any residual use necessary to fulfill our legal obligations or complete any pending operations. You represent and warrant that: (a) you own or have the necessary rights to all Content you upload; (b) your Content does not violate any applicable law or regulation; (c) your Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party; and (d) you have the legal right to use the Service to process the Content, including submitting it to third-party AI services on your behalf. We may use aggregate, anonymized, and de-identified data derived from Content submitted to the Service for the purposes of improving our AI models, Service performance, and product quality. Such data will not be attributable to you individually. We will not use identifiable Content for any purpose not described in these Terms or the Privacy Policy.
BeSeen respects the intellectual property rights of others and expects users of the Service to do the same. If you believe that Content submitted to or processed through the Service infringes your copyright, you may submit a notice of infringement to our designated agent at beseenresume@gmail.com. Your notice should include: (a) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it; (d) your contact information, including address, telephone number, and email address; (e) a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. We will respond to properly submitted notices in accordance with applicable law, which may include removing or disabling access to the allegedly infringing material and, in appropriate circumstances, terminating the accounts of repeat infringers.
We will use commercially reasonable efforts to make the Service available on a continuous basis. However, we do not guarantee uninterrupted, error-free, or perfectly reliable access to the Service. The Service may be temporarily unavailable due to scheduled maintenance, unscheduled downtime, technical failures, third-party service outages (including outages affecting our AI providers, payment processor, or infrastructure providers), force majeure events, or other circumstances beyond our reasonable control. We reserve the right to modify, update, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice, and without liability to you. We may introduce new features, change the pricing of existing features, or limit access to certain features as part of our ongoing product development and business operations. Material changes to paid features or pricing will be communicated to affected users in advance.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BESEEN EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BESEEN DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; THAT THE QUALITY OF ANY AI-GENERATED CONTENT, PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM BESEEN OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU IN FULL, IN WHICH CASE THE EXCLUSION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW IN YOUR JURISDICTION.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BESEEN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR AFFILIATES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOST EMPLOYMENT OPPORTUNITIES, CAREER LOSSES, LOSS OF BUSINESS, COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR ANY OTHER INTANGIBLE LOSS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY AI-GENERATED CONTENT PRODUCED BY THE SERVICE, ANY CONTENT YOU SUBMIT TO THE SERVICE, ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE (INCLUDING RECRUITERS PARTICIPATING IN THE CANDIDATE MATCHING SERVICE), OR ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF BESEEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL BESEEN'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO BESEEN IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) TEN DOLLARS ($10.00 USD). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IN SUCH JURISDICTIONS, BESEEN'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.
You agree to defend, indemnify, and hold harmless BeSeen and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your Content, including any claim that your Content infringes, misappropriates, or violates the intellectual property rights, privacy rights, or other rights of any third party; (d) your submission of a resume containing inaccurate or misleading information to any employer or application platform; (e) your participation in the Candidate Matching Service, including any interactions you have with Recruiters; or (f) your breach of any representation, warranty, or obligation set forth in these Terms.
You may terminate your Account and stop using the Service at any time. To request deletion of your Account, please contact us at the email address in the Contact section below. Account deletion is subject to our data retention obligations as described in the Privacy Policy. We reserve the right, in our sole discretion, to suspend or terminate your access to the Service at any time, for any reason, including without limitation if we determine that you have violated these Terms, engaged in fraudulent or abusive behavior, or posed a risk to other users or to the platform. We will make a good-faith effort to resolve disputes through direct communication. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BESEEN EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. ANY DISPUTE MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
These Terms, together with our Privacy Policy and any additional terms applicable to specific features of the Service, constitute the entire agreement between you and BeSeen with respect to your use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties relating to the subject matter hereof. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver of any provision of these Terms shall be effective unless made in writing and signed by an authorized representative of BeSeen. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms. These Terms shall be binding upon and inure to the benefit of the parties' permitted successors and assigns. These Terms do not create any partnership, joint venture, employment, franchise, or agency relationship between you and BeSeen.
